Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and ZuZu Corporation, trading as ZuZu (“ZuZu,” “we,” “us,” or “our”), governing your access to and use of zuzuwallet.com, the ZuZu Android application, and the products, features, websites, communications, and services we make available (collectively, the “Services”).

Please read these Terms carefully before creating an account or using the Services.

By creating a ZuZu account, clicking an acceptance button where presented, accessing or using the Services, or initiating a transaction through ZuZu, you agree to these Terms and acknowledge our Privacy Policy and any additional terms, disclosures, fee schedules, transaction confirmations, risk notices, or product-specific terms presented to you.

If you do not agree to these Terms, do not use the Services.

1. About ZuZu

ZuZu provides digital-wallet and financial-technology functionality through which eligible users may, depending on availability:

  • hold supported digital assets in a ZuZu account;
  • deposit supported digital assets;
  • withdraw supported digital assets to external blockchain addresses;
  • transfer supported assets to other ZuZu users;
  • create or pay money requests;
  • create and use payment links or QR codes;
  • convert between supported digital assets;
  • convert between supported digital assets and Philippine peso (“PHP”);
  • request PHP cash-outs through supported payout methods;
  • use supported ZuZu Earn products;
  • manage saved payout destinations and blockchain addresses;
  • receive account and transaction notifications; and
  • use other functionality that we may make available from time to time.

Not every Service, asset, network, payout method, or feature is available to every user or in every location.

We may restrict or modify availability based on legal requirements, security considerations, technical capabilities, risk controls, account status, service-provider availability, or other legitimate operational considerations.

2. Important Virtual Asset Risk Notice

Digital assets involve substantial risk.

Before using ZuZu, you should understand that:

  • digital-asset prices may increase or decrease rapidly;
  • you may lose some or all of the economic value of a digital asset;
  • past performance does not predict future performance;
  • stablecoins may lose their intended peg;
  • blockchain networks may experience congestion, forks, outages, exploits, or other disruptions;
  • blockchain transactions may be irreversible;
  • digital assets may be affected by changes in law, regulation, liquidity, market structure, or technology;
  • access to particular assets, networks, conversions, or withdrawal methods may be changed, restricted, or discontinued;
  • third-party issuers, blockchain networks, validators, bridges, smart contracts, banks, payout providers, and other infrastructure may fail or become unavailable; and
  • losses may occur even where ZuZu's systems are functioning as intended.

Digital assets are not the same as money held in a bank account.

Unless expressly stated otherwise in a legally applicable disclosure, digital-asset balances held through ZuZu are not bank deposits and are not covered by deposit insurance.

You are responsible for deciding whether use of digital assets and the Services is appropriate for you.

3. No Investment, Financial, Legal, or Tax Advice

ZuZu provides transaction and wallet functionality.

Unless we expressly agree otherwise in writing, information displayed through the Services—including prices, rates, projected earnings, market information, educational material, product descriptions, and account information—is provided for informational or transactional purposes and does not constitute:

  • investment advice;
  • financial advice;
  • legal advice;
  • accounting advice;
  • tax advice;
  • a recommendation to acquire, hold, sell, or dispose of an asset; or
  • a guarantee of future performance.

You are responsible for obtaining independent professional advice where appropriate.

4. Eligibility

To create or use a ZuZu account, you must:

  • be at least 18 years old;
  • have legal capacity to enter into these Terms;
  • provide accurate and complete information;
  • use the Services only for lawful purposes;
  • not be prohibited from using the Services under applicable law;
  • satisfy any identity, security, or eligibility requirements applicable to your account; and
  • use the Services only from a jurisdiction in which the relevant Service is legally available to you.

If you are using ZuZu on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms.

We may request evidence of identity, age, legal capacity, authority, residence, or other eligibility information.

5. Geographic Availability

ZuZu does not represent that every Service is lawful or available in every country, territory, province, or jurisdiction.

You are responsible for complying with laws applicable to your use of ZuZu.

We may:

  • restrict account creation from particular locations;
  • block or limit particular transactions;
  • limit specific assets or networks;
  • disable particular features;
  • require additional verification; or

discontinue access from particular jurisdictions,

where we reasonably believe doing so is necessary for legal, regulatory, security, compliance, risk, or operational reasons.

Use of technical methods intended to circumvent geographic or legal restrictions may result in restriction or suspension of your account.

6. Your ZuZu Account

You must provide accurate, current, and complete information when creating and maintaining your account.

You may not:

  • create an account using another person's identity without authorization;
  • sell, rent, lend, or transfer your account;
  • allow another person to use your account in a manner that violates these Terms;
  • create accounts to evade limits, restrictions, suspension, or verification requirements; or
  • misrepresent your identity or relationship to another person or entity.

You are responsible for keeping your account information current.

A ZuZu account is personal to the registered account holder unless we expressly approve another account type.

7. Custodial Nature of the Service

Unless a particular feature expressly states otherwise, ZuZu operates as a custodial wallet service for digital assets credited to your ZuZu account.

This means that the blockchain private keys or technical signing mechanisms controlling custodial assets are operated by ZuZu or infrastructure acting on our behalf rather than being provided directly to you.

You generally will not receive a private key or seed phrase that independently controls custodial ZuZu balances.

Your ability to access or transfer assets credited to your account is therefore subject to:

  • your account status;
  • authentication requirements;
  • these Terms;
  • transaction limits;
  • supported networks and assets;
  • security controls;
  • legal and compliance requirements; and
  • availability of the Services.

Do not send assets to ZuZu under the assumption that the Service is a self-custody wallet unless a particular feature expressly tells you otherwise.

8. Account Security

You are responsible for taking reasonable measures to protect your ZuZu account.

You must:

  • use a strong and unique password;
  • protect access to your email account;
  • protect your mobile device;
  • keep authenticator codes and recovery information confidential;
  • protect passkeys and device credentials;
  • review transaction details before confirmation;
  • immediately report suspected unauthorized access; and
  • sign out of or revoke sessions you no longer recognize or use.

ZuZu may offer security controls including:

  • passkeys;
  • WebAuthn;
  • authenticator-app verification;
  • time-based one-time passwords;
  • session management;
  • device-level application locking;
  • biometric or device authentication;
  • email verification;
  • transaction verification; and
  • additional authentication for sensitive actions.

You must not share passwords, one-time codes, authentication challenges, or other security credentials with another person.

ZuZu support will never ask you to disclose your password, authenticator code, private key, or seed phrase.

9. Unauthorized Account Access

If you believe that:

  • your password has been compromised;
  • your email account has been compromised;
  • an unknown device has accessed your account;
  • your authenticator or passkey is no longer secure;
  • your phone has been lost or stolen; or

an unauthorized transaction has occurred,

you must contact ZuZu support promptly and take reasonable steps to secure the affected account or device.

We may temporarily restrict an account while investigating suspected unauthorized access.

Delays in notifying us may affect our ability to investigate, prevent, or mitigate loss.

Blockchain transactions that have already been validly broadcast and confirmed generally cannot be reversed by ZuZu.

10. Identity Verification and Compliance Reviews

We may require identity or account verification before or after allowing access to particular Services.

Verification may include requests for:

  • legal name;
  • date of birth;
  • residential address;
  • nationality or country of residence;
  • government-issued identification;
  • photographs or verification images;
  • information regarding the source or destination of funds;
  • information regarding the purpose of a transaction;
  • information concerning account ownership;
  • supporting documents; or
  • other information reasonably required for legal, fraud-prevention, security, compliance, or risk purposes.

You agree to provide information that is accurate, authentic, complete, and not misleading.

We may delay, restrict, reject, or review transactions while verification is pending.

We may also conduct additional review where activity appears unusual, suspicious, inconsistent with expected use, or otherwise requires investigation.

We are not required to disclose confidential security methods, fraud rules, monitoring criteria, or information where disclosure is prohibited by law.

11. Supported Assets and Networks

ZuZu supports only the digital assets and blockchain networks that are expressly identified as supported within the Services at the time of a transaction.

Support for a particular asset does not necessarily mean that every blockchain network for that asset is supported.

For example, the same token may exist on multiple networks. You must select and use the correct network.

Always verify:

  • the asset;
  • blockchain network;
  • deposit or withdrawal address;
  • destination;
  • amount; and

other transaction information

before confirming a transaction.

We may add, suspend, restrict, or remove support for an asset or network where reasonably necessary.

12. Digital Asset Deposits

When depositing digital assets, you must send only the supported asset on the supported network shown by ZuZu.

Sending:

  • the wrong asset;
  • an unsupported token;
  • an asset using the wrong network;
  • an unsupported smart-contract asset;
  • an asset below an applicable minimum;
  • an asset requiring unsupported memo or tag functionality; or

funds to an incorrect or outdated address

may result in delayed credit or permanent loss.

ZuZu does not guarantee that unsupported or incorrectly sent assets can be recovered.

Where recovery is technically possible, we may:

  • require identity or transaction verification;
  • require additional information;
  • charge a reasonable recovery fee where disclosed and permitted; and
  • take additional time to attempt recovery.

An attempted recovery is not guaranteed to succeed.

Blockchain Confirmations

Deposits may not be credited until the relevant blockchain transaction reaches the number of confirmations or other validation requirements determined by ZuZu.

Required confirmations may vary by:

  • asset;
  • network;
  • transaction size;
  • network conditions;
  • security considerations; or
  • risk assessment.

A transaction appearing on a blockchain does not necessarily mean that it has been finally credited to your ZuZu account.

13. Deposit Addresses

ZuZu may provide one or more blockchain addresses for deposits.

You should always verify the deposit address displayed in your current ZuZu account before sending funds.

Even where an address has previously been reusable, we do not guarantee that every deposit address will remain supported indefinitely.

Do not assume an address obtained from:

  • an old screenshot;
  • an old email;
  • another person;
  • an unofficial website;
  • an expired QR code; or

another source

is still valid.

14. Digital Asset Withdrawals

ZuZu may allow you to withdraw supported digital assets to an external blockchain address.

Before confirming a withdrawal, you are responsible for verifying:

  • the asset;
  • selected blockchain network;
  • destination address;
  • amount;
  • applicable fee; and
  • total amount to be deducted or received.

Irreversibility

Blockchain withdrawals are generally irreversible once broadcast.

ZuZu cannot guarantee recovery of funds sent to:

  • an incorrect address;
  • an incompatible network;
  • a fraudulent recipient;
  • a smart contract that cannot return funds;
  • a wallet you cannot access; or
  • another destination selected by you.

You should independently verify the destination before confirming a withdrawal.

Security Review

We may delay or require additional verification for a withdrawal where reasonably necessary to protect your account or comply with applicable obligations.

Examples may include:

  • a recent password or email change;
  • a new device;
  • unusual account activity;
  • a high-risk destination;
  • a transaction outside normal patterns;
  • suspected account compromise; or
  • a legal or compliance review.

15. Network Fees and Withdrawal Fees

Blockchain withdrawals may involve:

  • network fees;
  • processing fees;
  • service fees; or
  • other transaction charges.

Applicable charges will be displayed or otherwise disclosed before you confirm the transaction where reasonably practicable.

Network fees may change rapidly based on blockchain conditions.

The amount displayed at the time of confirmation governs the transaction unless an obvious technical error has occurred.

16. ZuZu-to-ZuZu Transfers

ZuZu may allow users to transfer supported balances internally to another ZuZu user.

A recipient may be identified using information such as:

  • username;
  • email address;
  • payment request;
  • payment link; or
  • QR code.

You are responsible for verifying that the displayed recipient is the person you intend to pay.

Internal transfers may be processed rapidly and may become final once completed.

ZuZu is not responsible for a transfer that you intentionally authorize to the wrong person, except to the extent otherwise required by applicable law.

If you believe that a transfer was unauthorized, contact support promptly.

17. Money Requests and Payment Links

ZuZu may allow you to:

  • request payment from another user;
  • create shareable payment requests;
  • create payment links;
  • share a payment QR code; or
  • pay another user's request.

A money request is not proof that the requester is entitled to payment.

Before paying a request, you are responsible for verifying:

  • who sent the request;
  • why payment is requested;
  • the amount;
  • the asset; and
  • any accompanying note or description.

Do not pay a request merely because it was received through ZuZu.

We may restrict or remove payment requests used for fraud, harassment, deception, unlawful activity, spam, or other prohibited conduct.

18. Conversions and Quotes

ZuZu may allow conversions between supported assets, networks, stablecoins, cryptocurrencies, or PHP.

Indicative Rates

Rates displayed outside an active transaction quote—including rates shown on public pages, dashboards, calculators, or informational interfaces—may be indicative only.

An indicative rate is not a binding offer to execute a conversion.

Transaction Quotes

When you request a conversion, ZuZu may provide a quote showing information such as:

  • source asset;
  • destination asset;
  • amount you provide;
  • estimated or fixed receive amount;
  • exchange rate;
  • spread;
  • fees;
  • network information; and
  • quote expiration.

You are responsible for reviewing the quote before confirming it.

Quote Expiration

Quotes may be valid for only a limited period.

If a quote expires before confirmation, you may be required to request a new quote.

Market conditions may cause the new quote to differ from the previous quote.

Spread

The exchange rate offered through ZuZu may include a spread.

Where applicable, the rate and resulting receive amount will be presented to you before confirmation.

19. Network Conversions and Swaps

Certain features may allow you to move economic value between supported blockchain networks or convert an asset on one network to the same or another supported asset on a different network.

These transactions may involve:

  • blockchain transactions;
  • internal ledger transactions;
  • conversion activity;
  • liquidity providers;
  • network fees;
  • spreads;
  • delays; or
  • third-party infrastructure.

A network conversion should not be treated as a simple blockchain transfer unless expressly described that way.

Review the source network, destination network, asset, amount, rate, and expected receive amount before confirmation.

20. PHP Conversions and Cash-Out

ZuZu may allow eligible users to convert supported balances to PHP and request payout through available channels.

Supported channels may include, depending on availability:

  • bank transfer;
  • GCash;
  • Maya; or
  • other approved payout methods.

Accurate Destination Information

You are responsible for providing accurate payout details.

Before confirming a cash-out, verify:

  • beneficiary name;
  • bank or provider;
  • account or mobile number;
  • payout amount; and
  • other destination information.

Incorrect details may cause a payment to fail, be delayed, be returned, or in some circumstances be delivered to an unintended recipient.

Third-Party Processing

PHP payouts may be processed through third-party banks, payment providers, e-wallets, or payout partners.

Completion times may depend on those providers and may be affected by:

  • provider outages;
  • banking hours;
  • maintenance periods;
  • verification reviews;
  • transaction limits;
  • incorrect beneficiary information;
  • provider rejection;
  • compliance review; or
  • other circumstances outside ZuZu's reasonable control.

Displayed completion times are estimates unless expressly stated otherwise.

21. Saved Destinations and Address Book

ZuZu may allow you to save:

  • bank accounts;
  • GCash or Maya destinations;
  • other PHP payout destinations; and
  • blockchain wallet addresses.

Saved destinations are provided for convenience.

You remain responsible for verifying that saved information is accurate and still belongs to the intended recipient before each transaction.

A previously valid bank account, mobile number, or blockchain address may later become invalid, inaccessible, reassigned, or otherwise unsuitable for payment.

22. ZuZu Earn

ZuZu may offer one or more features under the name Earn.

Earn features may include products described as Fixed Term, Flex, or other structures introduced in the future.

Availability, eligibility, rates, terms, withdrawal rules, and other conditions may differ between Earn products.

Product Terms

Before placing assets into an Earn product, you should review the information presented for that product, including where applicable:

  • supported asset;
  • amount;
  • term;
  • rate;
  • projected earnings;
  • maturity date;
  • withdrawal availability;
  • early-withdrawal restrictions;
  • applicable fees;
  • settlement terms; and
  • relevant risk disclosures.

The product information shown when you confirm an Earn transaction forms part of these Terms for that transaction.

Fixed Term

A Fixed Term product may restrict access to the committed amount until the specified maturity date.

If the product is described as locked until maturity, you should assume that you will not be able to withdraw the committed assets early unless the product expressly provides otherwise.

Flex

A Flex product may permit withdrawal subject to the applicable product rules and processing requirements.

“Withdraw anytime” does not necessarily guarantee instantaneous blockchain settlement or uninterrupted Service availability.

Rates and Projected Earnings

Rates, APRs, APYs, projections, or estimated earnings shown through ZuZu apply only as described in the relevant product terms.

A projected amount is an estimate and is not necessarily a guarantee of future earnings.

Rates may be fixed or variable depending on the product.

We will identify the applicable rate or method of calculation when reasonably required for you to evaluate the transaction.

No General Guarantee

Except where expressly stated in the specific product terms and legally enforceable, ZuZu does not guarantee:

  • a particular rate of return;
  • uninterrupted earnings;
  • appreciation in the value of the underlying asset; or
  • protection against losses caused by changes in the value or operation of the relevant digital asset.

23. Stablecoin Risks

ZuZu may support stablecoins such as USDT or USDC.

A stablecoin's intended reference value does not guarantee that it will always trade at that value.

Stablecoin risks may include:

  • loss of peg;
  • issuer insolvency;
  • reserve concerns;
  • redemption restrictions;
  • legal or regulatory action;
  • smart-contract vulnerabilities;
  • network disruptions;
  • freezing or blocking by the issuer;
  • liquidity problems; and
  • market dislocation.

ZuZu does not control the independent issuer of a third-party stablecoin.

24. Blockchain Forks, Airdrops, and Similar Events

Blockchain networks may undergo:

  • forks;
  • upgrades;
  • migrations;
  • token distributions;
  • airdrops;
  • staking events;
  • chain reorganizations; or
  • other technical changes.

ZuZu is not obligated to support every resulting asset, fork, airdrop, or distribution.

We may determine whether and how to support such an event based on:

  • technical feasibility;
  • security;
  • legal requirements;
  • market integrity;
  • provider support;
  • asset risk;
  • operational burden; and
  • other legitimate considerations.

Do not assume that holding an asset in ZuZu automatically entitles you to every forked asset, reward, or airdrop associated with that asset.

25. Asset Delisting or Suspension

We may suspend, restrict, or discontinue support for an asset or network where reasonably necessary because of:

  • security concerns;
  • technical problems;
  • insufficient network reliability;
  • liquidity issues;
  • issuer concerns;
  • fraud or market manipulation;
  • legal or regulatory developments;
  • provider termination;
  • blockchain changes; or
  • other material risks.

Where reasonably practicable, we may provide advance notice and an opportunity to take appropriate action.

Immediate action may be necessary where delay could create security, legal, or financial risk.

26. Transaction Limits

ZuZu may apply:

  • minimum transaction amounts;
  • maximum transaction amounts;
  • daily limits;
  • monthly limits;
  • account-specific limits;
  • asset-specific limits;
  • payout limits;
  • withdrawal limits; or
  • other transaction controls.

Limits may depend on:

  • verification level;
  • account history;
  • security status;
  • risk assessment;
  • asset liquidity;
  • payout-provider requirements;
  • legal requirements; or
  • other legitimate operational considerations.

Limits displayed in your account are subject to these Terms and applicable law.

27. Fees

ZuZu may charge fees for certain Services.

Depending on the transaction, charges may include:

  • blockchain network fees;
  • withdrawal fees;
  • conversion spreads;
  • service fees;
  • payout charges;
  • recovery charges; or
  • other disclosed fees.

Where applicable, relevant fees or resulting amounts will be displayed or made available before transaction confirmation.

We may change fees prospectively.

Changes will not retroactively alter a transaction that has already been validly completed except to correct an obvious error or as otherwise permitted by law.

28. Transaction Errors and Erroneous Credits

Technology and payment systems can occasionally produce errors.

If your account is mistakenly:

  • over-credited;
  • under-debited;
  • credited twice;
  • credited with the wrong asset;
  • credited with an incorrect amount; or

otherwise affected by an identifiable processing error,

you agree that ZuZu may correct the error to the extent permitted by applicable law.

This may include reversing an erroneous internal ledger entry or adjusting an account balance.

We will not characterize a correction of an obvious erroneous credit as an ordinary customer withdrawal.

Nothing in this section permits ZuZu to reverse a confirmed public blockchain transaction that is technically irreversible.

If you believe a transaction or balance is incorrect, contact support promptly.

29. Taxes

You are responsible for determining and satisfying tax obligations arising from your use of the Services.

This may include obligations associated with:

  • purchasing or disposing of digital assets;
  • conversions;
  • transfers;
  • Earn activity;
  • gains or losses;
  • income; or
  • other transactions.

ZuZu does not provide individual tax advice.

Where legally required, we may:

  • collect tax-related information;
  • report information to tax authorities; or
  • withhold amounts required by law.

30. Prohibited Activities

You may not use ZuZu to engage in, facilitate, conceal, or support unlawful or prohibited activity.

Prohibited activity includes:

  • fraud or attempted fraud;
  • money laundering;
  • terrorist financing;
  • proliferation financing;
  • scams;
  • theft;
  • account takeover;
  • unauthorized transactions;
  • identity theft;
  • impersonation;
  • sanctions evasion;
  • trafficking in unlawful goods or services;
  • exploitation or abuse;
  • knowingly receiving proceeds of crime;
  • manipulating or abusing ZuZu systems;
  • circumventing account or transaction restrictions;
  • using another person's identity without authorization;
  • creating accounts to evade enforcement;
  • providing false verification information;
  • interfering with or disrupting the Services;
  • probing or exploiting security vulnerabilities without written authorization;
  • introducing malware or malicious code;
  • automated scraping or extraction that materially interferes with the Services;
  • reverse engineering in violation of applicable law;
  • abusing payment requests or support systems;
  • threatening, harassing, or deceiving other users; or
  • engaging in activity that exposes ZuZu, our users, or our providers to material legal, security, or financial risk.

We may establish additional prohibited-use rules where reasonably necessary.

31. Account Restrictions, Holds, and Suspensions

We may restrict, suspend, or place limitations on an account or transaction where we reasonably believe action is necessary because of:

  • suspected unauthorized access;
  • security risk;
  • fraud investigation;
  • unusual or suspicious activity;
  • identity-verification requirements;
  • prohibited activity;
  • violation of these Terms;
  • legal process;
  • sanctions or compliance requirements;
  • a dispute concerning ownership;
  • provider requirements;
  • risk of financial loss;
  • technical problems; or
  • protection of ZuZu, users, or third parties.

A restriction may affect:

  • sign-in;
  • deposits;
  • withdrawals;
  • transfers;
  • conversions;
  • Earn;
  • payout functionality; or
  • other Services.

Where appropriate and legally permitted, we will provide information concerning the restriction and steps available to resolve it.

We may be unable to disclose information where prohibited by law or where disclosure could undermine a fraud, security, or compliance investigation.

32. Account Closure

You may request closure of your ZuZu account through available account or support channels.

Before closure, you may be required to:

  • complete pending transactions;
  • withdraw or otherwise address remaining balances;
  • resolve negative or disputed balances;
  • complete identity or security verification; or
  • satisfy other reasonable account requirements.

We may retain information after account closure as described in our Privacy Policy and as permitted or required by law.

Closure by ZuZu

We may close an account where:

  • you materially violate these Terms;
  • continued service would be unlawful;
  • fraud or abuse is established;
  • required information is not provided;
  • security risk cannot reasonably be resolved;
  • the account remains inactive for an extended period under an applicable policy;
  • the Service is discontinued; or
  • another legitimate legal or operational reason requires closure.

Where legally and operationally possible, we will provide a reasonable method for dealing with remaining eligible balances.

We may be required to restrict the return or movement of assets where prohibited by law, court order, sanctions, or other lawful process.

33. Service Availability

We aim to provide reliable Services, but we do not guarantee that ZuZu will be available without interruption.

The Services may be temporarily unavailable because of:

  • scheduled maintenance;
  • emergency maintenance;
  • software updates;
  • blockchain congestion;
  • blockchain outages;
  • cloud or infrastructure failure;
  • third-party provider outages;
  • cybersecurity incidents;
  • telecommunications failure;
  • legal requirements;
  • force majeure events; or
  • other circumstances.

Where reasonably practicable, we may notify users of significant planned maintenance.

You should not rely on uninterrupted access to ZuZu for transactions that must occur at an exact time.

34. Third-Party Services

ZuZu depends on or interacts with third parties that may include:

  • blockchain networks;
  • stablecoin issuers;
  • banking providers;
  • GCash;
  • Maya;
  • payout providers;
  • blockchain infrastructure providers;
  • cloud providers;
  • identity-verification providers;
  • Google or Android services;
  • Telegram; and
  • other service providers.

A reference to or integration with a third party does not mean ZuZu controls that third party.

Third-party services may be governed by separate terms and privacy policies.

ZuZu is not responsible for the independent acts or omissions of a third party except to the extent responsibility cannot lawfully be excluded.

35. Android Application

The ZuZu Android application may be distributed through:

  • our official website;
  • an authorized application store; or
  • another distribution channel identified by ZuZu.

Only install ZuZu from an official or authorized source.

Modified, repackaged, counterfeit, or unofficial APK files may contain malicious software or altered functionality.

ZuZu is not responsible for loss resulting from knowingly installing an unauthorized or modified version of the application, except where applicable law provides otherwise.

Application updates may be required for continued access to some or all Services.

36. Electronic Communications

You consent to receive agreements, notices, disclosures, transaction information, statements, and other communications electronically where permitted by law.

Electronic communications may be provided through:

  • the ZuZu website;
  • the Android application;
  • your account Inbox;
  • email;
  • push notifications; or
  • another electronic method associated with the Services.

You are responsible for maintaining a valid email address and reasonable access to the devices necessary to receive account communications.

Certain important security or transactional communications may be sent regardless of optional marketing or notification preferences.

37. Privacy

Our collection and processing of personal data is described in the ZuZu Privacy Policy.

The Privacy Policy forms an important part of your relationship with ZuZu but is intended principally to explain our privacy practices rather than to reduce rights granted under applicable privacy law.

By using the Services, you acknowledge that you have had an opportunity to review the Privacy Policy.

38. Intellectual Property

The Services, including their:

  • software;
  • source and object code;
  • website design;
  • application design;
  • text;
  • graphics;
  • logos;
  • trademarks;
  • icons;
  • interfaces;
  • documentation; and

other proprietary materials

are owned by or licensed to ZuZu and are protected by applicable intellectual-property laws.

Subject to these Terms, ZuZu grants you a limited, personal, revocable, non-exclusive, non-transferable license to use the consumer-facing Services for their intended purpose.

This license does not transfer ownership of any ZuZu intellectual property.

You may not use the ZuZu name, logo, trademarks, designs, or proprietary materials except as expressly permitted by us or applicable law.

39. Feedback

If you voluntarily provide suggestions, ideas, bug reports, or other feedback concerning ZuZu, you grant us permission to use that feedback to operate and improve the Services without an obligation to compensate you.

This does not transfer ownership of your personal data or unrelated intellectual property.

40. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis.

ZuZu does not guarantee that:

  • the Services will always be uninterrupted;
  • every blockchain transaction will complete within a particular time;
  • every third-party provider will remain available;
  • every supported asset or network will remain supported;
  • market prices will remain stable;
  • a digital asset will maintain its value;
  • a stablecoin will maintain its peg;
  • projected Earn amounts will always be achieved;
  • errors will never occur; or
  • the Services will be completely free from cybersecurity risk.

Nothing in these Terms excludes any warranty, right, or protection that cannot lawfully be excluded.

41. Limitation of Liability

To the maximum extent permitted by applicable law, ZuZu will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses that are not a reasonably foreseeable result of our breach of these Terms.

This may include losses arising from:

  • market-price movements;
  • loss of anticipated profit;
  • loss of an opportunity;
  • loss caused by an incorrect recipient or blockchain address supplied by you;
  • use of an unsupported network;
  • loss of access resulting from your compromised credentials;
  • an independent third-party failure; or
  • a public blockchain event outside our reasonable control.

However, nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability arising from fraud, willful misconduct, or other liability for which exclusion is prohibited by applicable law.

Nothing in this section removes any mandatory rights available to you as a consumer under applicable law.

42. Your Responsibility for Loss Caused by Misuse

To the extent permitted by applicable law, you are responsible for losses, liabilities, claims, or reasonable costs arising directly from your:

  • unlawful use of the Services;
  • intentional fraud;
  • material breach of these Terms;
  • violation of another person's rights; or

unauthorized use of another person's account or identity,

except to the extent such loss was caused by ZuZu's own breach, negligence, misconduct, or another matter for which we are legally responsible.

43. Consumer Rights

Nothing in these Terms is intended to waive or limit rights that cannot legally be waived.

Where applicable consumer-protection law grants you mandatory rights concerning:

  • fair treatment;
  • disclosure and transparency;
  • protection against fraud or misuse;
  • data privacy;
  • complaint handling;
  • refunds or redress; or

other protections,

those rights continue to apply.

If a provision of these Terms conflicts with a mandatory consumer right, the mandatory legal requirement will prevail to the extent of the conflict.

44. Complaints and Support

If you have a question, complaint, or dispute concerning:

  • your account;
  • a transaction;
  • a conversion;
  • a withdrawal;
  • a cash-out;
  • Earn;
  • a security event; or

another ZuZu Service,

please contact us through Help while signed in to your account or through an official support channel published on zuzuwallet.com.

We may ask you to provide:

  • relevant transaction information;
  • screenshots;
  • transaction references;
  • destination details;
  • identity-verification information; or
  • other information reasonably necessary to investigate the matter.

We will maintain a process for reviewing user complaints and will provide information about the outcome or next steps where appropriate.

If applicable law gives you the right to escalate a complaint to a court, regulator, supervisory authority, or other dispute-resolution body, nothing in these Terms removes that right.

45. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles, except where mandatory law applicable to you requires otherwise.

Nothing in this section deprives you of consumer protections that cannot legally be waived.

46. Dispute Resolution and Courts

We encourage you to contact ZuZu support first so that we have an opportunity to investigate and resolve a concern.

If a dispute cannot be resolved through our internal complaint process, either party may exercise rights available under applicable law, including bringing proceedings before a court or other competent authority with jurisdiction.

Nothing in these Terms prevents:

  • either party from seeking urgent injunctive or protective relief;
  • a consumer from using an applicable governmental complaint process; or
  • either party from exercising a right that cannot lawfully be restricted.

47. Changes to the Services

ZuZu may develop, modify, replace, suspend, or discontinue features over time.

This may include changes to:

  • supported assets;
  • blockchain networks;
  • payout methods;
  • fees;
  • account limits;
  • Earn products;
  • security controls;
  • user interfaces;
  • technical requirements; or
  • third-party integrations.

Where a change materially affects an existing contractual right or product, we will provide notice where reasonably appropriate or legally required.

48. Changes to These Terms

We may amend these Terms from time to time to reflect:

  • changes to the Services;
  • new features;
  • legal or regulatory developments;
  • security requirements;
  • changes in third-party services;
  • operational changes; or
  • other legitimate business needs.

When these Terms are updated, we will change the “Last updated” date.

If a change is material, we may provide additional notice through:

  • another appropriate method.

Where applicable law requires affirmative consent to a change, we will request it.

ZuZu will not be responsible for delay or failure caused by circumstances beyond our reasonable control to the extent permitted by law.

Such circumstances may include:

  • natural disasters;
  • fire or flood;
  • war;
  • terrorism;
  • civil unrest;
  • government action;
  • labor disruption;
  • widespread telecommunications failure;
  • internet failure;
  • cloud-infrastructure failure;
  • blockchain-network failure;
  • cyberattack;
  • third-party provider outage; or
  • other comparable events.

This section does not excuse obligations that cannot lawfully be excluded.

50. Assignment

You may not sell, assign, or transfer your ZuZu account or your rights under these Terms without our prior written approval.

ZuZu may assign or transfer these Terms in connection with:

  • a merger;
  • acquisition;
  • corporate reorganization;
  • financing;
  • sale of business or assets; or

transfer to an affiliate or successor,

subject to applicable law and any notice requirements.

51. No Waiver

If ZuZu does not immediately enforce a provision of these Terms, that does not mean we permanently waive the right to enforce it.

A waiver is effective only to the extent expressly given.

52. Severability

If a court or other competent authority determines that any provision of these Terms is invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

The affected provision will be interpreted or modified only to the minimum extent necessary to make it enforceable where legally permitted.

53. Entire Agreement

These Terms, together with:

  • the Privacy Policy;
  • product-specific terms;
  • transaction confirmations;
  • applicable fee disclosures;
  • Earn terms;
  • risk disclosures; and

other terms expressly incorporated into them,

constitute the agreement between you and ZuZu concerning your use of the Services.

Product-specific terms control over these general Terms to the extent that they expressly conflict regarding that particular product.

54. Interpretation

Section headings are provided for convenience and do not limit the meaning of these Terms.

Words such as “including” mean “including without limitation” unless context requires otherwise.

A reference to a law includes amendments, replacements, and implementing regulations to the extent applicable.

55. Language

These Terms are written in English.

We may provide translations for convenience.

If a translated version conflicts with the English version, the English version will control to the extent permitted by applicable law.

Mandatory rights under applicable law are not affected by this provision.
